## Parties and Roles

**Not Panicking Limited (NPL)** - Provides the Hitchhiker's Guide to the Galaxy intellectual property (IP). - Supports the transition of the IP to the new foundation. **Wildly Improbable LLP** - Develops guides, organizes events, and raises funds using the Hitchhiker's IP. ## Purpose - Establish the Hitchhiker Foundation by June 4, 2026. - The Foundation will be mutually owned and will ultimately hold the Hitchhiker's Guide IP and the developed guides.

## Rights and Responsibilities **Wildly Improbable LLP** - Receives exclusive rights to use the Hitchhiker's IP to develop and publish up to 42 guides. - Organizes events and raises funds to support the creation of these guides. - Retains the right to continue using the IP in the guides and events developed, regardless of the final outcome. **Not Panicking Limited** - Grants the license to use the IP and supports the establishment of the Hitchhiker Foundation. - Retains the right to review the progress and decide whether to proceed with transferring the IP to the Foundation. ## Financial Arrangements - Implement a tithing model where both NPL and Wildly Improbable LLP receive a portion of the revenue generated by the Hitchhiker Foundation to repay their initial investments over a defined period. ## Timeline and Milestones - Establish the Hitchhiker Foundation by June 4, 2026. - Conduct a major progress review in November 2025 to decide on the transfer of IP and assets to the Foundation. ## Exit and Continuity - If NPL decides not to proceed with the transfer, Wildly Improbable LLP retains the right to continue using the IP for the guides and events it has developed. - If Wildly Improbable LLP chooses not to transfer its assets, it can continue independently with the rights it has secured. ## Incentives and Objectives **Wildly Improbable LLP** - Motivated to put full-time, passionate effort into creating the business plan, organizing events, and raising funds. - Aims to raise £42,000 annually for each of the 42 guides, totaling £1,764,000 per year. - Develops a platform, conducts fundraising campaigns, and signs deals with agencies for the initial launch. - Investments and efforts are repaid at commercial rates through a capped investment model, ensuring investors and partners are compensated. - Uses dynamic equity (Slicing the Pie) models to incentivize contributors and guide partners. - Ultimately transfers all developed assets and efforts to the Hitchhiker Foundation, with a tithing arrangement to repay initial investments. **Not Panicking Limited** - Gains a dedicated and passionate team driving the growth of the Hitchhiker’s IP, fostering community engagement and fundraising. - Benefits from the creation of a robust platform and a series of events that expand the Hitchhiker brand. - Transfers its IP to the Hitchhiker Foundation with a tithing arrangement to repay the value of the IP (up to $42 million). - Once the tithing amount is repaid, the IP fully transitions to mutual ownership under the Foundation. ## Repayment and Ownership Transfer **Wildly Improbable LLP** - The investments and commercial costs of developing the guides and events are repaid through the tithing model. - The amount repaid is tied to the actual costs and investments rather than a fixed sum like the IP. - After repayment, the guides, events, and all related assets transition to the Hitchhiker Foundation. **Not Panicking Limited** - The tithing arrangement ensures that the $42 million value of the IP is repaid over time. - Once fully repaid, the IP moves into mutual ownership under the Foundation, aligning with the goal of broad community ownership. ## Final Goal - Ensure the Hitchhiker Foundation becomes a community-owned entity, holding all rights, assets, and the IP for the benefit of the global community.
